We have put together a summary stating how JESMOND has for years been working with its distribution partners and the criteria we are looking for in a new Partner.

DISTRIBUTOR AND LICENCE AGREEMENT (LDA)

JESMOND, the proprietor of all formulations, marketing and TM rights, is working with all its partners on the basis of a Standard LDA. This contract is signed between Jesmond Holding AG/Licensor in Switzerland and the Partner/Licensee. Such agreement contains all the essential points on how we work together for our mutual security and benefit. In the LDA there are subjects such as:

• Appointment of the Licensee, which is normally on an exclusive term for a Territory and within the Territory a segment or channel.
• Specifications on products, production and warranty, as well as delivery and payment terms
• Non-competition clause and Corporate Design of BioKill/CleanKill
• Product registration and handling of the same
• Marketing specific terms, reporting and inventory
• License set-up and payment
• Liability and Confidentiality
• Terms of Termination with Governing law and Jurisdiction

JESMOND is providing registration, technical and marketing support. Our technical department will prepare the registration dossier according to the requirements of the territory´s authorities and actively support the same. Once registration has been granted, we provide technical support to get the quality of production needed. Finally, we will share all our accumulated Marketing knowledge for the launch of the products according to the granted registration.

CRITERIA

It has been set to help interested parties to internally evaluate the compatibility to our group´s philosophy and culture. Obviously, a list can only be a guideline and does not mean that all of the criteria has to be met, but it shall give an idea and a fair overview on what is important to us and where we are flexible.
